an open account

【英文】An account-stated contract is one in which the parties agree as to the final amount one party owes to the other party.This occurs when there are several transactions between the parties，such as those in an open account. This agreement merges all the individual transactions between the parties，and discharges all rights and duties except those contained in the accountstated contract.

【譯文】賬目結算合同是雙方當事人就一方拖欠另一方的最終賬目所達成的協議。這種情況出現在雙方當事人之間存在數筆交易時，比如利用未結算的賬目進行的交易。該協議將當事人之間所有單筆交易予以合并結算，解除雙方之間除本賬目結算合同中載明的所有權利和義務。

【解釋】本例中的an open account是“未結算的賬目”的意思，其中open的意義相當于an open question（未解決的問題；沒有固定答案的問題）中的open。值得注意的是，an open account還有“往來賬目、經常項目”（相當于a current account）和“活期資金”的意思。

另外，本例中的account-state contract是國外銀行業(yè)務中的一種合同，此種合同用于清算當事人之間的業(yè)務交易賬目，故可稱為“賬目結算合同”。
